"You" refers to the individual accessing or using the Service, or the legal entity that the individual represents while accessing or using the Service.

"Buyer" refers to the purchasing party, an individual or legal entity that purchases Items using the Service.

"Seller" (also referred to as "Wholesaler") refers to the provider of Items to the Buyer and to whom payment is made. Unless explicitly indicated on the Item, the Service is not the Seller. |

"Item" (also referred to as "Offer", "Product") refers to individual items packaged for sale from the Seller to the Buyer. |

"Order" (also referred to as "Purchase") refers to purchases that you make through our Service, which are fulfilled and billed by the Seller. |

"External Sites" refers to third-party websites, services, or content that may be linked to or accessed through our Service but are not owned or operated by Us.

Acknowledgement
By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
Your use of Our Service is subject to our sole discretion, and we reserve the right to modify, suspend, or terminate access at any time, for any reason, without prior notice.
You agree to comply with this agreement, our policies, and all applicable laws, rules, and regulations as enacted by local, state, federal, and other governing bodies. Failure to comply may result in suspension or termination of access, legal action, and potential financial or regulatory penalties.
You acknowledge that your participation in our Service must be conducted through a business entity based in the United States.
You agree not to use Our Service if you are unable to enter into a legally binding contract. This includes, but is not limited to, situations where you are temporarily or permanently prohibited from buying or selling pharmaceutical products or where legal, economic, or trade sanctions restrict your participation.
You agree to not engage in unauthorized reselling of Products obtained through Our Service.
You agree not to compromise, attempt to compromise, or engage in any unauthorized access or manipulation of any part of Our Service. This includes, but is not limited to, sharing login credentials with third parties, utilizing software, tools, or techniques intended for unauthorized access or system breaches, altering data, pricing or Item statuses posted by Sellers, or uploading content outside the scope of what is expressly permitted by our Platform.
You agree not to use any automated means, including but not limited to robots, spiders, scrapers, data mining tools, or other data gathering and extraction mechanisms, to access, interact with, or extract information from Our Service without our prior express written permission. Additionally, you agree not to bypass, disable, or otherwise circumvent any technical safeguards or security measures implemented to protect access to Our Services.
You acknowledge that Buyers are required to complete the Service standard Credit Application in addition to any Seller specific credit applications before being allowed to create Orders and make Purchases on the Service.
You acknowledge that each Seller may have their own payment authorization forms, terms and conditions and individual return policies. These are controlled by the Seller and not by the Service. You may request a copy of these documents from the Seller after you register for a User Account. These documents may also be found on the "Documents" page after Buyer login.
Service Function
PharmSaver is a pharmaceutical marketplace aggregator or a B2B procurement platform, emphasizing its role in streamlining purchasing processes without direct inventory ownership. The Service is used to connect U.S. legally registered Buyers and Sellers of pharmaceutical Products and Items that are commonly associated with pharmaceutical sales.
Disclaimer
Our Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind. To the fullest extent permitted by law, we disclaim all express, implied, statutory, and other warranties, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement. We make no guarantees regarding performance, compatibility, uninterrupted operation, or error correction.
User Accounts
When you register as a Buyer on Our Service, you establish a User Account. You agree to provide accurate and complete information and to maintain any required details necessary for us to deliver our services effectively.
You are responsible for ensuring compliance with all applicable local, state, and federal regulations, including providing documentation that verifies your lawful participation in U.S. prescription pharmaceutical resales or as a provider of prescription drugs.
Safeguarding your login credentials is your responsibility. You may not share them with any individual or third party outside your organization. In the event of a data breach that may compromise login credentials, personal information, or transaction details, you must notify Us upon discovery to help mitigate risks and ensure compliance with industry standards.
Item Availability and Pricing
Sellers upload or manually enter item listings on Our Service, and they are solely responsible for ensuring accuracy, availability, and pricing. Item prices may be adjusted based on new Seller uploads if an item remains in a Buyer’s shopping cart for more than 24 hours.
While our Service strives to reflect current availability, we cannot guarantee that items will be in stock at the time of purchase, as inventory is fully controlled by the Seller.
Both our Service and the Seller reserve the right to cancel items or orders due to pricing discrepancies or shipping rate errors.
Order Processing
Buyers can select items using various features on Our Service, including but not limited to Drug and Product Search pages, Purchase Order uploads, promotional advertising, and express entry using product identification numbers.
Each Seller has a dedicated shopping cart where Buyers add items. Before converting the cart into an official Order, Buyers must ensure they meet the Seller’s shipping and credit requirements.
Once an Order is finalized, our Service transmits it directly to the Seller for processing.
Billing and Payments
All Orders are placed directly with Sellers, who are solely responsible for billing and collecting payments from Buyers. Some Sellers may use Our Service to process credit card payments on their behalf. In such cases, Our Service facilitates authorization by your credit card issuer and, where applicable, captures payment information to pass along to the Seller.
We reserve the right, at our sole discretion, to enable or restrict credit card payment options for both Buyers and Sellers at any time.
Order Cancellation
We reserve the right to refuse or cancel Your Order at any time, including but not limited to cases of pricing or description errors, limited item availability, or suspected unauthorized or illegal transactions.
Generally, Buyers may cancel an Order if the Seller has not yet shipped the Item(s). It is the Buyer’s responsibility to promptly contact the Seller upon deciding to cancel.
Sellers may cancel Orders due to circumstances beyond our control, such as inventory shortages, buyer credit issues, or regulatory restrictions. The Seller must notify the Buyer directly and provide electronic confirmation of the cancellation to Our Service.
If an item is refused or returned by the Buyer, the Buyer is responsible for coordinating directly with the Seller to obtain a credit for the item(s).
Dispute Resolution
If you have any concerns or disputes regarding Our Service, you agree to first attempt to resolve the issue informally by contacting Us. If a resolution cannot be reached through informal discussions, we reserve the right to require mediation or arbitration as an alternative to litigation, in accordance with applicable laws. Any formal dispute resolution proceedings shall take place in the jurisdiction specified in these Terms and Conditions.
External Website Links and services
Our Service may contain links to third-party websites for your convenience. However, we do not endorse, control, or assume any responsibility for the content, accuracy, legality, or security of these external sites.
Audit Requests
If you receive an audit request from a third party such as insurance providers, PBMs, wholesalers or regulatory agencies, you must submit all required documents to Us. We require the documentation at least five business days before their due date.
Submissions are processed on a first-come, first-served basis, and we are not liable for delays. If we determine that we cannot complete the request in time, we will notify you, and you must request an extension from the third party. We disclaim all responsibility for any consequences arising from audits.
Intellectual Property
You acknowledge and agree that all patents, trademarks, trade names, service marks, copyrights, and other intellectual property associated with Our Service are and shall remain our exclusive property. Nothing in this agreement grants you any ownership rights, licenses, or permissions to use our intellectual property beyond what is expressly authorized.
Termination
If We determine that you are violating these Terms and Conditions or any of our policies in any manner, we reserve the right, at our sole discretion, to limit, suspend, or terminate your access to Our Services. Additionally, we may pursue legal action as deemed necessary to enforce compliance.
Limitation of Liability
We shall not be liable for any damages arising from Buyer or Seller non-performance, including but not limited to failure to fulfill transactions, deliver products, or meet contractual obligations. Additionally, we are not responsible for any direct, indirect, incidental, or consequential damages resulting from your use or inability to use Our Services, including disruptions, data loss, or any other operational failures. By using Our Service, you acknowledge and agree that your participation is at your own risk.
Certain jurisdictions do not permit the exclusion of implied warranties or limitations on liability for incidental or consequential damages. Accordingly, some of the limitations outlined above may not apply to you. In such cases, liability will be restricted to the maximum extent allowed under applicable law.
Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, it shall be modified and interpreted to fulfill its intended purpose to the maximum extent permitted by law. The remaining provisions shall remain in full force and effect.
Governing Law
These Terms and Conditions, as well as any disputes arising from or related to your use of Our Service, shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
Changes to These Terms and Conditions
We reserve the right, at our sole discretion, to modify, update, or replace these Terms and Conditions at any time. Any changes will be effective immediately upon posting, and continued use of our Service after such modifications constitutes acceptance of the updated terms.
